These are the Terms of Use ("Terms of Use") for your use of services or features on the sites owned and controlled by Kleanr Cosmetics (hereinafter referred to as "Kleanr", “we”, or “us”), including www.kleanrcosmetics.com, all other websites, mobile sites, services, applications, and platforms where these terms appear or are otherwise referenced, or for which no separate terms are provided as well as to your visits to or interaction with us (hereinafter collectively referred to as the "Sites" and/or “Services”). Regardless of how or where you are accessing our Services and/or Sites, these Terms of Use are binding and govern your use accordingly.

These Terms of Use do not apply to companies that Kleanr does not own or control, or to the actions of people that Kleanr does not employ or manage. You should always check the terms of use posted on any third-party sites (i.e., Facebook, X, Instagram, among others).

Kleanr reserves the right to change or modify any of the terms and conditions contained in the Terms of Use, at any time, without notice, and in its sole discretion.

If Kleanr decides to change these Terms of Use, Kleanr will post a new version with a corresponding date of issuance on the Sites. Further, Kleanr will send a notification to your registered email indicating the Terms of Use have been updated. If you continue to use our Sites and/or Services, you signify your unconditional agreement to the updated Terms of Use.

BY USING THE SITES, YOU ARE EXPLICITLY AND UNCONDITIONALLY SIGNIFYING YOUR CONSENT AND AGREEMENT TO THESE TERMS OF  USE. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, YOU SHOULD NOT USE OUR SITES AND/OR PRODUCTS.

ANY CHANGES OR REVISIONS TO THESE TERMS OF USE WILL BE EFFECTIVE IMMEDIATELY WHEN THOSE REVISIONS ARE POSTED ON THE SITE. THE UPDATED TERMS AND ANY REVISIONS THERE IN WILL REPLACE ANY PREVIOUS VERSIONS OF THE TERMS OF USE. REGARDLESS OF WHEN DISPUTES ARISE, THE MOST RECENT VERSION OF THESE TERMS WILL APPLY TO THE DISPUTE.

It is recommended that all users frequently review the Terms of Use, and stay updated on any possible modifications, changes, and/or revisions. Users should check the date when doing so to stay informed on when the applicable Terms of Use were updated.

Intellectual Property Including Copyright and Trademarks

The intellectual property listed on Kleanr is the exclusive property of Kleanr and protected by Canadian copyright laws, this includes, among other things, design, text, graphics, logos, button icons, images, audio and videos. These properties are protected by applicable copyright laws relative to Ontario, Canada.

Users may only copy and print portions of the Sites for the purpose of placing orders with Kleanr or using the Sites for their intended purpose of shopping. Kleanr prohibits other uses of materials which appear on our Sites. Any sort reproduction for purposes other than those permitted above, including any modification, modification, distribution without the prior express and written permission of Kleanr is violation of these Terms of Use. Such users are prohibited by Kleanr.

Unless otherwise stated, Kleanr owns all intellectual property associated with the Sites. This includes, but is not limited to all page headers, custom graphics and button icons are service marks, trademarks. This also includes any portions of the Sites previously mentioned in this section. These items shall not be used in connection with products or services that are not offered by Kleanr. This is particularly so in respect to a use that in any manner may cause confusion among customers.

Users understand that by violating the Terms of Use, Kleanr retains the right to pursue any and all possible legal recourse.

Entire Agreement

These Terms of Use, together with the Privacy Policy and any other legal notices or agreements published by Kleanr on the Site, constitute the entire agreement between you and Kleanr regarding the use of the Site and the purchase of products or services. This agreement supersedes all prior or contemporaneous communications, whether electronic, oral, or written, between you and Kleanr regarding the subject matter hereof.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and any other applicable agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Product Information

Kleanr products, including those displayed on the Sites, are available for purchase, shipping, and delivery only within Canada and the United States. If applicable, some other select countries may also be eligible for delivery, which will be specified during the ordering process. For further details, please refer to the Shipping and Delivery section of these Terms of Use.

All prices listed on the Sites are in Canadian Dollars (CAD) and exclude applicable taxes. Additional fees, such as shipping, handling, delivery, and taxes, will be shown at checkout and processed in Canadian dollars.

Prices listed on the Site are subject to verification. By placing an order, you agree to pay all associated charges. Kleanr reserves the right to limit the quantity of your order before or after confirmation.

The information provided on the Site is for personal, educational, or informational purposes only, and other uses are prohibited. However, Kleanr does not guarantee the complete accuracy or currentness of all information on the site.

Kleanr does not warrant that product descriptions or other content on the Sites are fully accurate or up-to-date. Statements made by manufacturers about products have not been evaluated by Health Canada, the U.S. Food and Drug Administration (FDA), or any other regulatory agency. Results from using these products may vary based on individual experiences.

Products and statements made by Kleanr or on the Sites are not intended for medical use. Kleanr does not guarantee the effectiveness of our products for diagnosing, treating, or preventing any medical conditions. If you are a minor with the consent of a legal guardian, you may only use Kleanr products after reviewing these Terms of Use and consulting a healthcare professional. Kleanr is not responsible for any medical advice provided to the individual.

The Sites are not intended to provide medical advice. Products should only be used according to their descriptions, specifically in the cosmetic and beauty context. If you have any medical conditions that may increase the risk of adverse reactions, you should consult a physician before using any products listed on the Site.

Kleanr does not provide or intend to provide medical answers or advice. No prescription medications or medical treatments are available on the Sites.

Users are encouraged to read the product descriptions, reviews, and related information carefully before making a purchase. By purchasing and/or using the Sites, you assume full responsibility for any risks associated with the products you buy and agree to inform yourself fully by reviewing all relevant details.

All users should follow the instructions for use and review the product ingredients to avoid any potential allergic or adverse reactions.

You are not permitted to purchase, use, sell, or resell products from Kleanr. If you purchase products from a third party, Kleanr cannot guarantee their safety or authenticity. By purchasing products from a third party, you release Kleanr from any liability related to the safety, quality, or accuracy of these products.

If you resell Kleanr products to a third party, you assume full responsibility for any associated risks or defects.

Kleanr reserves the right to correct any errors or inaccuracies and to update or change the information on the Site at any time, including product prices and availability, without prior notice or penalty.

Kleanr reserves the right to cancel or reduce the quantity of any order or products at any time.

Kleanr strives to accurately represent the colours, textures, and sizes of its products. However, these characteristics may differ from the actual products and may not be entirely accurate or complete.

Content

You are solely responsible for all content that you upload, publish, or send via email to the Sites, through the reviews or otherwise, including the submission of product ratings and reviews, and all other data.

Note that the definition of content does not include information gathered from your device through hardware and software tracking technologies (i.e., cookies) used to create a more personalized experience for you when shopping on Kleanr Sites. Our Privacy Policy covers the collection and use of such information. Please refer to our Privacy Policy for more information.

Limitation of Liability

Kleanr is not liable for any statements, representations, or information provided by its users in any public forum, on the Sites or any Third-Party Site. More generally, content posted via or on the Sites or any Third-Party Site, is not controlled by Kleanr.

Kleanr cannot guarantee the accuracy of such content, posted by anyone but us. However, you understand that when posting content on our site directly (i.e., reviews), Kleanr retains the right to modify, or delete this information, and has the sole discretion to determine whether those reviews have breached these Terms of Use, our Privacy Policy, or any other guidelines.

Users agree to access the content on the Sites only pursuant to these Terms of Use and the Privacy Policy and you agree to not republish or redistribute any information that is posted on the Site.

Ratings & Reviews

We encourage users to post reviews when they purchase and try our products. It helps inform the purchase decisions of other users and helps facilitate a positive environment and experience for all.

When submitting reviews, users unconditionally agree that these reviews complies unequivocally with this Terms of Use. Users further agree that all reviews shall be helpful, relevant, and avoid defamatory, abusive, or inappropriate statements.

Depending on the product you're reviewing, you may be asked to answer questions that will help prompt and guide the additional information being posted. The purpose of this is to help other users in their purchasing decisions.

The reviews, and other content information that you supply will be saved to your profile and may be visible to other users.

All content posted by users is subject to be read and moderated to ensure compliance with these Terms of Use. Kleanr reserves the right to modify reviews, if it is determined that such moderations are necessary to comply with these Terms of Use. If it is determined it is appropriate to remove  the review altogether, Kleanr reserves the right to do so.

Third Party Content and Third-Party Sites

Kleanr may provide content of third parties ("Third Party Content"), or links to Third Party Sites, as a service to those interested in this information. Kleanr does not control the content on Third Party Sites. The inclusion of these links to Third Party sites and content does not imply any affiliation between Kleanr and the Third Party.

Kleanr does not guarantee, endorse or adopt the accuracy of any Third Party content. Kleanr is not responsible for updating or reviewing Third Party Content or Third Party Sites. Users use Third Party Sites at their own risk.

Mobile Services and Accessibility

If you access the Sites via your mobile phone (through an iPhone application, for example), these services may be subject to charges by your telecommunications provider. Please review the agreement with your telecommunications provider before doing so. Your carrier's normal rates and fees, such as text messaging fees or data charges, will still apply.

Alteration  of Content

Kleanr reserves the right to use any content posted by users on the Sites. This includes the sole discretion to determine the appropriate modifications of this content, and if necessary, delete any content from the Sites.

Kleanr reserves the right to remove or to refuse to post any submission for violation of any relevant terms or guidelines. Users unconditionally agree the user, not Kleanr, are solely responsible for the content that they submit to the Site.

Reservation of Rights

Kleanr reserves the right, at any time, without notice and in its sole discretion, to terminate your account, and access to the Sites. This includes restricting, preventing, or blocking future use of the Site.

Kleanr may access, preserve and disclose your account information and content if required to do so by law.

Kleanr may access this information, if we believe, in a good faith belief that such access, preservation or disclosure is reasonably necessary to comply with legal duties, respond to customer service requests, or protect the rights of users, including but not limited to other users, employees, or the general public.

Kleanr reserves the right to modify,suspend, or terminate this agreement (or any clause therein) at any time without prior notice. The failure of Kleanr to exercise or enforce any right shall not constitute a waiver of the ability to do so in the future.

Disclaimer for Warranties

Unless otherwise stated in these Terms of Use, Kleanr makes no representations or warranties of any kind. This includes, but is not limited to express or implied warranties pertaining to the use of the Sites and or Kleanr Service, including, but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Sites and Services are offered on an “as is” and “as available” basis.

Kleanr does not warrant the goods or services will meet your requirements, be uninterrupted, error-free, free from viruses, or other defects. Kleanr does not warrant the accuracy, or completeness of any information on the Sites.

To the fullest extent permitted by law, Kleanr disclaims any and all representations and warranties, including but not limited to the intended uses of products, accuracy of product information, and fitness of users making those purchases.

Disclaimer for Liabilities

Kleanr’s liability for any damages arising from the use of the Site or products is limited to the amount paid by you for the product or service. To the fullest extent permitted by applicable law, in no event shall Kleanr Cosmetics, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the website (ii) any conduct or content of any third party on the website: (iii) any content obtained from the website : and (iv) unauthorized access, use, or alternation of your transmissions or content.

KLEANR WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITES OR OUR PRODUCTS.

THIS IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THOSE LISTED ABOVE.

Indemnification

You agree to defend, indemnify, and hold harmless Kleanr, and all of its affiliates, including but not limited to officers, directors, agents, subsidiaries, employees, agents, and licensors from all claims, demands, losses, obligations, damages, costs (including reasonable legal fees), expenses and liabilities. (a) your use of the Sites; (b) your violation of these Terms of Use; (c) your violation of any law or violation of the rights of a Third Party; or (e) any allegation or claim that content or reviews posted by you may have caused damage to a third party, including but not limited to claims alleging defamation. 

Fraud

Kleanr has the right to review orders for potential fraud or illegal activity. We reserve the right to cancel, investigate, or modify orders if suspicious activity is detected. Kleanr has sole discretion to take any action it deems necessary in such cases.

Additionally, we reserve the right to investigate, suspend, cancel, or delete any accounts suspected of unauthorized activity. These actions are taken to protect all users, and both accounts and orders are regularly monitored for such activities.

Kleanr also reserves the right to report any unauthorized activity to local authorities for further investigation.

Privacy

Users under conditionally consent and agree to Kleanr and its third-party service providers using email addresses associated with user accounts contact you about your account or content you have submitted.

Waiver

In circumstances where a specific term in these Terms of Use is waived, this waiver shall not be deemed to be continuous. Further, such a waiver does not apply to any other term in these Terms of Use.

These waivers in no way limit, preclude, or restrict Kleanr’s ability right to assert and/or enforce any terms in the future.

English Language

Kleanr is not responsible for any confusion, or violation resulting from translating any of our products or Sites to any language other than English. This Terms of Use, and all other guidelines and policies on the Sites have will be construed in English in situations of dispute.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Use or the use of the Site and its services, the parties agree to resolve the matter through the following process:

1. Informal Resolution: The parties agree to attempt to resolve any dispute amicably through informal communication. Either party may contact the other party in writing to raise the issue and attempt to reach a mutually satisfactory resolution.
2. Class Action Waiver: The parties agree that any dispute or claim shall be resolved on an individual basis and not as part of a class action or representative action. You waive any right to participate in a class action or similar proceeding related to any dispute.
3. Governing Law: These Terms of Use and any dispute arising out of or in connection with these Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
4. Exceptions to Dispute Resolution: The above dispute resolution process does not apply to disputes related to the infringement of intellectual property rights, violations of privacy or data protection laws, or actions taken to enforce any judgment resulting from arbitration.

By using the Site and purchasing products, you agree to the terms of this Dispute Resolution clause and to attempt to resolve any disputes through the methods outlined above.

Any disputes arising from the use of Kleanr products or Sites, will be subject to Ontario laws and any dispute resolution process, including arbitration, mediation, and other forms of litigation will take place within Ontario.

The governing laws of these Terms of Use, or any of the Sites, is the law of Ontario. Any and all provisions in relation to these Terms of Use, the Privacy Policy, or other guidelines, must be construed in accordance with the laws of the Province of Ontario, and the laws of the country of Canada.

The user is also responsible for complying with these laws. The United Nations Convention on Contracts for the International Sale of Goods will not apply.

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND KLEANR AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITES AND THE COMMUNITY MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Severability

The provisions of these Terms of Use are intended to be interpreted in a manner which makes them enforceable.

If a particular term in these Terms of Use is determined to be unenforceable, unlawful or invalid, the provision will be modified to the extent necessary to allow it to be enforceable.

If it is determined by Kleanr, or a court of competent jurisdiction and authority that the term in dispute cannot in any circumstance be modified to become enforceable, it shall be severed from these Terms and the remaining terms will continue in full force and effect.

It is expressly understood and agreed between the parties that such modifications may be done unilaterally by Kleanr.

Age Restriction

You must be at least 13 years of age to use our Sites and/or Services. If you are under the age of 18 years old (or the age of majority in your province or country), you may use our services under the supervision and consent of a legal guardian.

By accessing our Sites and Services, placing orders, and using our products, you represent and warrant that you meet these age requirements and/or have consent and supervision of a legal guardian, as prescribed above.

If we become aware that a user is non-compliant with this term based on age or guardian supervision, we retain the right to cancel any orders and terminate any accounts with that user.

Order Acceptances and Cancellation

As allowed by applicable law, your orders are subject to acceptance by Kleanr, which will be confirmed by email. Kleanr reserves the right to refuse or cancel any order, including those that have been initially approved. In addition, Kleanr may impose restrictions on the quantity of products in an order, even if the order has been confirmed.

Kleanr may also request additional information from you before accepting, processing, or shipping an order. Without limiting the foregoing, Kleanr may refuse or cancel an order, or apply restrictions, for any of the following reasons: (a) the product is unavailable, has become unavailable due to inventory changes, or is on backorder; (b) the order quantity exceeds the reasonable amount allowed for personal consumption; (c) the billing information provided is incorrect; (d) there is a pricing error or other material inaccuracies on the Site regarding the product at the time of ordering; (e) the order appears suspicious or potentially fraudulent; or (f) the order indicates that you are purchasing for resale or third-party distribution.

If an order is refused, canceled, or restricted, Kleanr will notify you within a reasonable time frame.

If you request changes or cancellations to an order, please do not assume that the order has been altered or canceled until you receive confirmation from Kleanr via email or through the Site.

You are responsible for payment of any orders that have already been processed before a cancellation request is received.

As stated, the Site is intended solely for retail customers and may not be used to purchase products for resale or export. Kleanr is not responsible for any third-party transactions. By placing an order, you confirm that you are not a reseller, dealer, exporter, or distributor purchasing products for resale.

Shipping and Delivery

We will use commercially reasonable efforts to deliver items as quickly as possible, and within any time indicated. However, delivery times are estimates and in no way represent a guarantee.

We are not responsible for delivery delays beyond our control. We will endeavour to notify users if delivery is delayed. All items are delivered by a third party, and delivery is governed by third-party terms and conditions of delivery. We reserve the right not to ship to certain addresses.

You agree to pay the shipping and handling charges shown at the time of ordering. Please refer to our Shipping and Returns page for more information regarding shipping, returns and exchanges.

Returns and Exchanges

All purchase transactions made through the Site are subject to Kleanr’s Shipping and Returns policy in effect at the time of purchase. Please refer to those policies for additional information.

Risk of loss

Title to and risk of loss for products purchased through our website pass to you upon delivery to the shipping carrier. We are not liable for any loss or delay that occurs during transit. Any dispute arising during transit shall be brought to the attention of the vendor handling the shipping and delivery of your order.

Warranty

Kleanr provides a limited warranty on our products. The warranty covers material defects, including the material and workmanship of the product under normal use. Miscellaneous

The delay or failure by us to act with respect to a breach of these Terms by you or others does not in any way constitute a waiver of these Terms and does not limit our ability or rights in relation to such breach, or other breaches.

Kleanr makes no guarantee that the information on the Sites are appropriate for use in locations outside of Canada. By accessing this site from somewhere outside of Canada, you undertake to be responsible for compliance with local laws.

Kleanr retains the right to transfer our benefits or rights. This includes the right to transfer, assign, or sub-contract the benefit we receive in whole or part, including any obligations or rights under these Terms of Use, our Privacy Policy, or other guidelines.

These terms are binding. They will be binding upon you, and will be passed among to ensure to the benefit of (i) you and your heir(s), executor(s), administrator(s) and other legal representatives; and (ii) us and our successors and assigns.
